Board Responsibilities
The Board of Directors is responsible for:

Setting and documenting organizational policy and strategy,
ensuring clear understanding by both the Board and management

Overseeing management performance to ensure objectives are met

Ensuring wise use of organizational assets and adequate
resourcing of strategic initiatives

Conducting risk oversight and implementing thorough risk
management practices
Additionally, the Information Technology Scholars Board:
Issues certifications to qualified candidates who meet all
credential requirements
Reviews and approves proposed new credentials or changes to
existing ones
Acts as evangelists and advocates for the organization and its
mission
Adheres to the organization's Code of Ethics and all other
policies
Terms of Service
Board members serve voluntarily, dedicating significant time to
advance our organization and the IT profession. Each member is
elected to a three-year term. Board Officers are elected annually
to serve one-year terms.
Officers and Their Responsibilities
Board Chair
The Chair ensures effective Board action in governing and
supporting the organization. The Chair:
Leads the Board and is responsible for its effectiveness
Chairs Board meetings and the Annual Meeting
Appoints members to Board-designated committees
Supervises the Executive Director on behalf of the Board and
members
Performs all lawful functions of a board chair
Board Vice Chair
The Vice Chair acts as the Chair during absences, ensuring
continued effective Board action. The Vice Chair:
Assists the Chair as necessary to ensure board operations
Acts as Chair in the Chair's absence
Chairs the Business Practices Committee
Executes other duties as assigned by the Chair
Board Secretary
The Secretary works with the Corporate Secretary to maintain
proper records of Board actions. The Secretary:
Ensures creation and distribution of meeting minutes and agendas
Executes other duties as assigned by the Chair
Board Treasurer
The Treasurer manages the Board's review of, and action related to financial responsibilities. The Treasurer:
Chairs the Audit Committee of the Board
Executes other duties as assigned by the Chair
